Terms of Service

Important: CCT Critical Care is supplemental professional reference and workflow support. Never delay patient care while using the App.

1. Agreement and scope

These Terms of Service (“Terms”) govern your access to acuitymedicaltechnologies.com (the “Site”) and CCT Critical Care (the “App”), provided by Acuity Medical Technologies, LLC under the Acuity Medical Technologies brand (“Acuity,” “Developer,” “we,” “us”). The Site also describes Acuity capabilities in software, product design and prototyping, selected-part production, and teaching materials. By using the Site or App, you agree to these Terms and the Privacy Policy. The App is licensed, not sold.

A project inquiry does not obligate either party to proceed. Custom services, prototypes, parts, production, teaching materials, pricing, delivery, ownership, acceptance, warranties, and project-specific responsibilities may be governed by a separate written quote, statement of work, purchase order, or agreement. That project agreement controls if it conflicts with these general Site Terms.

For an App obtained through Apple, Apple’s Standard Licensed Application End User License Agreement is incorporated into these Terms. If these Terms conflict with that license on a matter it governs, Apple’s license controls.

2. Eligibility and professional authority

The App is intended for appropriately trained, currently licensed, certified, or credentialed healthcare professionals. Use it only within lawful scope and with any authorization required by an employer, agency, medical director, or organization. It is not intended for patient self-diagnosis, self-treatment, or unsupervised student practice.

3. Professional reference; no medical direction

The App does not diagnose, prescribe, monitor a patient, issue medical orders, establish a standard of care, or create a clinician-patient or medical-director relationship. It does not replace training, current drug labeling, device instructions, institutional policy, official protocols, online medical control, consultation, independent calculation, or professional judgment.

Clinical laws, scopes, protocols, formulations, and evidence change. Generic content may not apply to a patient or jurisdiction. If the App conflicts with current law, labeling, policy, protocol, or medical direction, those authorities control.

4. Independent verification

Before acting, independently verify all patient facts, source values, units, concentrations, arithmetic, indications, contraindications, interactions, allergies, weight, pregnancy status, organ function, device settings, and other relevant factors. You remain responsible for every clinical decision and for obtaining required orders or authorization.

5. AI, scanners, calculations, and facility information

AI-assisted extraction, imported data, calculations, facility designations, nearby results, and scanner output can be inaccurate, incomplete, stale, or unavailable. They are unverified drafts until a qualified professional compares them with the original source and current authoritative information. Never treat an output, badge, or designation as a clinical order, certification, dispatch instruction, or guarantee of capability or availability.

Cloud-AI processing is optional. The App identifies the selected data, recipient, and purpose and requires affirmative consent before first transmission for each optional feature. You may decline or withdraw future permission. Withdrawal does not reverse a completed request.

6. Patient, confidential, and authorized data

The App is not an electronic health record, approved chart, or credential vault. Do not submit patient names, faces, dates of birth, medical-record numbers, account credentials, or other protected, identifying, or confidential information. Upload or store facility access codes, contact lists, documents, or images only when authorized to possess, process, and use them.

The App is not offered as a HIPAA business-associate service. Do not use it to create, receive, maintain, or transmit protected health information on behalf of a HIPAA-covered organization unless that organization has approved the complete workflow and any required agreements are in place.

7. Your content

You retain rights in content you lawfully submit. You grant Acuity and its service providers a limited license to receive, process, transmit, format, and return that content only as needed to provide, secure, troubleshoot, and support the feature requested and comply with law. You represent that you have the rights and permissions needed to submit it.

8. Subscriptions and purchases

  • Monthly and annual Pro subscriptions are auto-renewable. The localized price and period shown by the applicable app store before confirmation control.
  • Payment is charged to the app-store account at confirmation. Unless canceled within the store’s required period, the subscription renews automatically.
  • Manage or cancel in app-store subscription settings. “Restore Purchase” is available in the App.
  • Refunds, taxes, price changes, trials, and billing disputes are governed by the applicable store and law.

9. Acceptable use

You may not misuse the Site or App; attempt unauthorized access; interfere with security, rate limits, or paid access; introduce malicious content; use the services unlawfully; submit content without authority; or reverse engineer or circumvent technical protections except where law expressly permits. Do not share credentials or use facility access information for an unauthorized purpose.

10. Third-party services

The Site or App may use app-store payments, subscription management, hosting, AI processing, mapping, location, and external links. Third parties operate those services under their own terms and privacy practices. Acuity does not control their independent availability, content, or policies.

11. Project work, prototypes, parts, and educational materials

Use a prototype, part, accessory, or other physical deliverable only for the intended use, conditions, revision, and limitations documented for that project. Unless project documentation expressly states otherwise, prototypes and training aids are not finished medical devices and must not be used for patient care. The receiving party is responsible for reasonable inspection, fit and function review, and any validation, authorization, maintenance, or regulatory obligations assigned to it by the project agreement or applicable law.

Teaching and reference materials are educational resources. Unless expressly documented for the specific deliverable, they are not accredited continuing education, institutional policy, a clinical protocol, medical direction, or a substitute for current authoritative sources and qualified instruction.

12. Intellectual property

The Site and App, excluding your content and third-party material, are owned by or licensed to the Developer and protected by applicable intellectual-property laws. No ownership interest transfers to you. Third-party names and materials remain the property of their owners; reference does not imply sponsorship or endorsement.

13. Availability, updates, and termination

Acuity may change, correct, suspend, or discontinue features or content and may restrict access for security, legal, abuse-prevention, or nonpayment reasons. Clinical content should not be assumed current merely because the App remains available. You may stop use and delete the App at any time.

14. Assumption of risk

You understand that the App may contain or produce incorrect, incomplete, outdated, delayed, unavailable, or misapplied information and that misuse or reliance may contribute to medication error, treatment delay, incorrect destination or device decisions, privacy harm, bodily injury, or death. Do not use the App as the sole or primary basis for a time-critical clinical decision.

15. Disclaimer of warranties

To the maximum extent permitted by law and subject to Apple’s Standard EULA where applicable, the Site, App, services, and content are provided “as is,” “as available,” and “with all faults.” Acuity disclaims express, implied, and statutory warranties, including merchantability, satisfactory quality, fitness for a particular purpose, title, accuracy, availability, and noninfringement, and does not guarantee a clinical or operational outcome.

16. Limits of liability

To the maximum extent permitted by law, Acuity will not be liable under any theory for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of data, revenue, profits, goodwill, or business; or losses arising from reliance on content, output, availability, or third-party services.

To the maximum extent permitted by law, aggregate liability for claims related to the Site, App, or these Terms will not exceed the greater of the amount paid for the App during the 12 months before the event or US $50. Nothing excludes a warranty, remedy, right, or liability that law does not permit to be excluded or limited.

17. Indemnity for unauthorized use

To the extent permitted by law, you will defend, indemnify, and hold harmless Acuity from third-party claims and reasonable costs arising from content submitted without required rights, unlawful or out-of-scope use, or a material violation of these Terms. This does not shift liability that law does not permit to be shifted.

18. Governing law and disputes

Except where consumer law requires otherwise, these Terms are governed by Illinois law without regard to conflict-of-law rules. Before filing a claim, the parties agree to provide written notice and allow 30 days for good-faith informal resolution. Unresolved disputes will be heard in the state or federal courts serving the Illinois county of the Developer’s principal place of business, subject to applicable law.

19. Changes, severability, and contact

Material revisions will receive a new effective date and, when appropriate, renewed in-app acceptance. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining Terms will continue. Failure to enforce a provision is not a waiver.
